1. Acceptance of this Disclaimer

This Disclaimer governs your access to and use of the ruvv website, interface, APIs, bots, and any related tools or content (collectively, the "Interface"). It is incorporated into and forms part of our Terms & Conditions.

BY ACCESSING, BROWSING, CONNECTING A WALLET TO, OR OTHERWISE USING THE INTERFACE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO EVERY PROVISION OF THIS DISCLAIMER, INCLUDING THE ASSUMPTION OF RISK, RELEASE, LIMITATION OF LIABILITY, AND INDEMNITY SECTIONS BELOW. IF YOU DO NOT AGREE WITH ANY PART OF THIS DISCLAIMER, YOUR ONLY REMEDY IS TO STOP USING THE INTERFACE IMMEDIATELY.

In this Disclaimer, "ruvv", "we", "us", and "our" mean the operators, developers, contributors, officers, employees, agents, licensors, and affiliates of the Interface.

2. The Interface is provided "as is"

THE INTERFACE AND ALL INFORMATION, CONTENT, DATA, MATERIALS, AND FUNCTIONALITY MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS" BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

We do not warrant that the Interface will be available, uninterrupted, timely, complete, accurate, secure, or error-free, that defects will be corrected, or that the Interface is free of viruses, malicious code, or other harmful components. No advice or information, whether oral or written, obtained from us or through the Interface creates any warranty not expressly stated here.

The Interface is experimental software that is under active development. Features may be incomplete, unaudited, or behave differently than described.

3. Information may be inaccurate, delayed, or wrong

All information displayed on the Interface is provided for general informational purposes only and is indicative, not authoritative. This includes, without limitation: token prices, charts, candles, market caps, liquidity, volume, holder counts, bonding-curve progress, quotes, price impact and slippage estimates, routing previews, order books, funding rates, balances, positions, profit and loss, transaction history, fee figures and fee estimates, points, rankings, referral statistics, token metadata, names, images, social links, and any labels, badges, or risk indicators.

Such information may be delayed, cached, stale, rounded, estimated, mislabelled, duplicated, out of order, incomplete, or simply wrong. It may be derived from third-party sources we do not control and cannot verify. Displayed values may differ materially from the values that are actually executed or settled on-chain.

The relevant blockchain, smart contracts, and protocol state are the sole source of truth. You are solely responsible for independently verifying any information — including contract and mint addresses, network selection, amounts, decimals, slippage settings, leverage, and every parameter of a transaction — before you sign or confirm anything in your wallet. We are not liable for any decision you make, or any loss you suffer, in reliance on information shown by the Interface.

4. Bugs, errors, and defects

Software contains bugs. You acknowledge and accept that the Interface may contain errors, defects, regressions, or vulnerabilities that could, among other things:

  • display incorrect prices, balances, fees, or profit and loss;
  • build, route, sign-request, or broadcast a transaction with unintended parameters, amounts, recipients, or slippage;
  • cause a transaction to fail, expire, be duplicated, be submitted more than once, or be executed at an unfavourable price;
  • fail to submit, cancel, or modify an order, or report an order state that does not match the underlying protocol;
  • miscalculate rewards, points, referral attribution, discounts, burns, or eligibility;
  • expose the Interface to exploitation by third parties, including front-running, sandwiching, MEV extraction, and other adversarial behaviour.

To the maximum extent permitted by law, we are not liable for any loss arising from any such error or defect, whether or not we knew or should have known of it, and whether or not it was reported to us beforehand.

5. Downtime, unavailability, and inability to trade or withdraw

We make no guarantee of uptime, continuity, latency, throughput, or availability. The Interface may become slow, degraded, partially functional, or entirely unavailable at any time, with or without notice, including as a result of: scheduled or unscheduled maintenance; deployment or configuration errors; hosting, CDN, DNS, or domain failures; RPC or indexer outages, rate limiting, or bans; blockchain congestion, reorganisation, fork, halt, or downtime; wallet or wallet-provider failures; third-party API or protocol outages; denial-of-service or other attacks; security incidents; loss of access to keys or infrastructure; geoblocking; or acts of any regulator, government, hosting provider, app store, or other third party.

YOU EXPRESSLY ACKNOWLEDGE AND ACCEPT THAT DURING ANY SUCH EVENT YOU MAY BE UNABLE TO ACCESS THE INTERFACE, VIEW YOUR POSITIONS OR BALANCES, OPEN OR CLOSE POSITIONS, PLACE, MODIFY, OR CANCEL ORDERS, SWAP, BRIDGE, CLAIM, DEPOSIT, TRANSFER, OR WITHDRAW ANY ASSET, AND THAT YOU MAY AS A RESULT SUFFER MISSED OPPORTUNITIES, ADVERSE PRICE MOVEMENT, MARGIN CALLS, FORCED LIQUIDATION, OR TOTAL LOSS OF FUNDS. WE ARE NOT LIABLE FOR ANY SUCH LOSS.

The Interface is a front-end only. Its unavailability does not by itself affect your ownership of assets held in your own wallet or your ability to interact directly with the underlying blockchains and protocols using other tools. You are solely responsible for maintaining independent means of accessing your assets, including alternative wallets, clients, RPC endpoints, and block explorers, and for monitoring and managing any leveraged or time-sensitive position.

We may modify, suspend, restrict, geoblock, or permanently discontinue the Interface or any feature of it, in whole or in part, at any time and for any reason, without notice and without liability to you. We are under no obligation to continue operating the Interface or to provide support, maintenance, or migration assistance.

6. Non-custodial: your wallet, your keys, your responsibility

The Interface is non-custodial. We do not take custody, possession, or control of your assets, private keys, seed phrases, or accounts, and we do not act as a broker, dealer, exchange, market maker, custodian, money transmitter, exchange agent, or fiduciary for you.

  • Every transaction is initiated and authorised by you. Blockchain transactions are generally irreversible once broadcast and confirmed.
  • We cannot reverse, cancel, refund, recover, freeze, or otherwise undo any transaction, transfer, approval, or trade.
  • We cannot recover lost, deleted, leaked, or compromised keys, seed phrases, session keys, browser storage, or devices, and we cannot restore access to a wallet you no longer control.
  • Any locally generated, derived, delegated, or session wallet used to improve your experience remains your responsibility, including its backup, funding, security, and any residual balance in it.
  • You are responsible for the security of your device, browser, extensions, network, email, and accounts, and for verifying that you are on the genuine ruvv domain. Phishing sites, malicious extensions, clipboard hijackers, and fake support staff are common; we will never ask for your seed phrase or private key.

7. Third-party protocols, infrastructure, and content

The Interface aggregates, links to, and depends on third parties that we neither own nor control, including without limitation blockchain networks and validators, smart contracts and decentralised protocols, liquidity venues, launchpads and bonding-curve programs, routing and aggregation services, oracles and price feeds, RPC and indexing providers, bridges, wallet providers, analytics, hosting, and data providers.

We do not endorse, guarantee, audit, or assume responsibility for any third party, and we are not liable for their acts, omissions, terms, fees, security, solvency, availability, accuracy, exploits, upgrades, or discontinuation. Your use of any third party is at your own risk and may be governed by that third party's own terms.

Smart contracts may be unaudited, may contain vulnerabilities, may be upgradeable or controlled by privileged keys, and may fail or be exploited. Digital assets may lose all value.

8. Tokens, listings, and user-generated content

Anyone can create, name, and list a token. The appearance of any token, pool, market, image, name, ticker, description, social link, or user-generated content on the Interface is not an endorsement, recommendation, verification, vetting, or approval by us, and does not imply that the token is legitimate, safe, or associated with any brand or person it may resemble.

Tokens may be scams, rug pulls, honeypots, impersonations, or otherwise worthless. They may have hidden mint authority, freeze authority, transfer taxes, blacklists, or unlocked insider supply. Liquidity may be removed at any moment. Any ranking, sorting, trending list, boost, badge, filter, or risk signal on the Interface is automated, best-effort, and may be inaccurate or manipulated, and must not be relied upon. Conduct your own research before transacting.

9. Marketplace services are between users, not with us

The Marketplace lists services offered by other users — promotion, messaging, bots, design, tooling, and similar. Every listing is written by the user selling it. Their appearance on the Interface is not an endorsement, verification, vetting, or approval by us, and says nothing about whether the seller is real, capable, honest, or lawful.

Instant Pay: we are not a party and hold no funds. Payment moves in one on-chain transaction from your wallet straight to the seller's wallet. No escrow, no milestone release, no dispute window, no refund mechanism. Once it confirms it is final — we cannot reverse it, and neither can anyone else. If a seller takes your SOL and delivers nothing, your loss is total and permanent.

Safe Escrow: we hold the funds, and that is its own risk. Your SOL sits in a wallet controlled by us until the order settles. That removes the seller-runs-away risk and replaces it with a different one: while your money is with us, it is exposed to our key management, our operational mistakes, our continued existence, and our judgement in a dispute. It is not insured, not segregated in any legally protective sense, and not held by a regulated custodian. Escrow is an operational convenience, not a guarantee — do not deposit what you cannot afford to lose.

Escrowed funds release to the seller automatically if you do not approve or dispute within the review window after they submit work. Watching that window is your job. When you do dispute, you are asking us to decide where the money goes; that decision is ours, is made on the evidence in the Interface, and is final.

Volume badges, sale counts, star ratings, reviews, and ranking order are automated records of payments settled through the Interface. They are best-effort, may be inaccurate, and can be manipulated by someone paying themselves. Treat them as one weak signal, never as a guarantee.

Services sold here may breach third-party platform rules or the law in your jurisdiction. You are responsible for what you buy, what you sell, and what you do with it. Disputes are strictly between buyer and seller. See the Terms & Conditions for the full terms that apply to the Marketplace.

10. Trading risk

Trading digital assets — and particularly perpetual futures, leveraged products, and newly launched memecoins — is extremely risky and may result in the rapid and total loss of your funds. Prices are highly volatile. Leverage magnifies losses as well as gains, and positions may be liquidated in whole or in part without notice. Liquidity may be thin or disappear, and slippage, failed transactions, and adverse execution are common.

Past performance, backtests, simulations, projections, and any figures shown on the Interface are not indicative of future results. You should not transact with funds you cannot afford to lose entirely.

11. Fees, rewards, points, and promotional programs

Fee figures, discounts, rebates, burn mechanics, points, quests, leaderboards, referral rewards, airdrops, and similar programs are provided at our discretion, are subject to change, suspension, recalculation, clawback, or cancellation at any time without notice, and may be miscalculated or displayed incorrectly. See the fee schedule for current published rates; actual amounts charged on-chain control.

Off-chain points and program balances have no monetary value, are not property, are not a currency, are not redeemable, transferable, or guaranteed, and do not entitle you to any token, distribution, revenue, dividend, equity, or other benefit. Nothing on the Interface is an offer or solicitation to buy or sell any security, derivative, or financial instrument, and no statement about any future token, feature, or distribution is a promise or commitment.

12. No professional advice

Nothing on the Interface constitutes investment, financial, trading, legal, accounting, or tax advice, a recommendation, or a solicitation. We are not your broker, adviser, or fiduciary and owe you no duty of best execution or suitability. Obtain independent professional advice before acting.

13. Your eligibility and compliance

You are solely responsible for determining whether your use of the Interface is lawful in your jurisdiction, and for complying with all applicable laws, including securities, derivatives, sanctions, anti-money-laundering, and tax laws, and for reporting and paying any taxes arising from your activity. You represent that you are not located in, resident of, or acting on behalf of any person in a prohibited or sanctioned jurisdiction, and that you are not a sanctioned person. Access from any jurisdiction where the Interface or the relevant products are prohibited is at your sole risk and responsibility.

14. Assumption of risk and release

YOU ACCEPT AND ASSUME ALL RISK ARISING FROM YOUR USE OF THE INTERFACE AND FROM ANY TRANSACTION YOU AUTHORISE, INCLUDING EVERY RISK DESCRIBED IN THIS DISCLAIMER AND ANY RISK NOT DESCRIBED HERE.

To the maximum extent permitted by applicable law, you irrevocably release, waive, and forever discharge ruvv and its operators, developers, contributors, officers, employees, agents, licensors, and affiliates from any and all claims, demands, damages, losses, liabilities, costs, and expenses of every kind, whether known or unknown, foreseen or unforeseen, arising out of or in any way connected with the Interface, its unavailability, its data, or your transactions. If you are a resident of a jurisdiction whose law limits releases of unknown claims (such as California Civil Code § 1542), you expressly waive the benefit of that limitation to the fullest extent permitted.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RUVV OR ANY OF ITS OPERATORS, DEVELOPERS, CONTRIBUTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, TRADING OPPORTUNITY, GOODWILL, DATA, OR DIGITAL ASSETS (INCLUDING ANY LOSS ARISING FROM PRICE MOVEMENT, LIQUIDATION, FAILED OR DELAYED TRANSACTIONS, INABILITY TO ACCESS OR WITHDRAW FUNDS, DOWNTIME, DEFECTS, OR INACCURATE INFORMATION), HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE INTERFACE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES YOU ACTUALLY PAID TO US THROUGH THE INTERFACE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED UNITED STATES DOLLARS (US$100).

These limitations apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions our liability is limited to the greatest extent permitted by law, and nothing in this Disclaimer excludes liability that cannot lawfully be excluded.

16. Indemnification

You agree to defend, indemnify, and hold harmless ruvv and its operators, developers, contributors, officers, employees, agents, licensors, and affiliates from and against any claim, demand, action, investigation, damage, loss, liability, penalty, cost, or expense (including reasonable legal fees) arising out of or related to your use of the Interface, your transactions, your violation of this Disclaimer or the Terms, your violation of any law or the rights of any third party, or any content or token you create, promote, or distribute through the Interface.

17. Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, epidemics, power or internet failures, blockchain congestion, forks, halts or reorganisations, protocol exploits, cyberattacks, third-party outages, and acts of government or regulators.

18. Forward-looking statements

Any statement about future plans, roadmaps, features, integrations, tokens, listings, or performance is forward-looking, reflects current intentions only, may change or be abandoned at any time, and is not a promise, guarantee, or commitment of any kind.

19. Changes to this Disclaimer

We may update this Disclaimer at any time. Changes take effect when posted, and the "Last updated" date above will change. Your continued use of the Interface after any change constitutes your acceptance of the revised Disclaimer. It is your responsibility to review this page periodically.

20. General

If any provision of this Disclaimer is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. This Disclaimer supplements, and does not replace, the Terms & Conditions and the Privacy Policy; in the event of a conflict on the subject matter of disclaimers, assumption of risk, release, limitation of liability, or indemnity, the provision that affords us the broadest protection permitted by applicable law controls.
